RVLock Scout

App Subscription Agreement

Effective: Aug 14, 2026
This RVLock & CO, LLC Cloud Services Agreement (this "Agreement") is entered into between RVLock & CO, LLC ("RVLock," "we," "us," or "our") and the individual or entity that subscribes to, accesses, or uses the Cloud Services ("Customer," "you," or "your"). This Agreement supplements, and is governed by, the RVLock Scout Terms of Service (the "ToS") and the RVLock Scout Privacy Policy (the "Privacy Policy"), each incorporated by reference. If this Agreement conflicts with the ToS, this Agreement controls as to the subject matter of the Cloud Services only; the ToS controls in all other respects, including dispute resolution and governing law. By subscribing to, accessing, or using the Cloud Services, you agree to this Agreement. If you do not agree, do not use the Cloud Services.

1. Definitions and Scope

1.1 Capitalized terms not defined here have the meanings given in the ToS.

1.2 "Cloud Services" means the RVLock-hosted data storage, backup, synchronization, retrieval, and related cloud-based features made available to Customer, together with associated software, applications, interfaces, and Documentation.

1.3 "Customer Content" means the files, data, images, video, telemetry, configurations, and other content that Customer or its Authorized Users upload to, generate through, or store within the Cloud Services. Customer Content is a subset of Customer Data under the ToS.

1.4 "Data" means all data processed through the Cloud Services, including Customer Content, Account Information, Usage Data, and diagnostic and log data.

1.5 "Service Plan" means the storage tier, feature set, and subscription level Customer selects at purchase or enrollment.

1.6 Scope. This Agreement governs Customer's subscription to and use of the Cloud Services. It does not modify the terms applicable to any Device, firmware, or non-cloud feature, which remain governed by the ToS and any applicable product-specific terms.

2. Service Description

2.1 Storage and Configuration. RVLock will make available the storage capacity and configuration options associated with Customer's selected Service Plan, as described at the point of purchase or in the Documentation. RVLock may adjust the technical means by which storage is provided.

2.2 Data Retention Period. Customer Content is retained while the subscription remains active and for any post-termination period described in Section 7. RVLock may establish and modify default retention periods, version limits, and file-size limits by Service Plan.

2.3 Availability and Access. The Cloud Services are generally accessible through RVLock's applications, websites, and supported interfaces. Access requires compatible devices, internet connectivity, valid credentials, and an active subscription.

2.4 Storage Location. RVLock and its service providers may store and process Data in the United States and other locations described in the Privacy Policy. RVLock may change data-center or hosting locations at its discretion, subject to applicable law.

3. Subscription and Fees

3.1 Pricing and Billing Cycle. Fees, billing frequency (monthly or annual), and included capacity are those disclosed for Customer's Service Plan at the time of purchase or enrollment. All fees are stated and payable in U.S. dollars unless stated otherwise.

3.2 Payment Methods and Processing. Customer must provide a valid, authorized payment method and authorizes RVLock and its payment processors to charge all fees, applicable taxes, and other amounts due for the selected Service Plan on a recurring basis until cancellation.

3.3 Taxes. Fees are exclusive of taxes. Customer is responsible for all sales, use, value-added, and similar taxes, excluding taxes on RVLock's net income.

3.4 Price Adjustments. RVLock may change fees. RVLock will provide at least thirty (30) days' notice of a fee increase before it takes effect at the start of Customer's next billing cycle, by email or through the Cloud Services. Continued use after the effective date constitutes acceptance; if Customer does not accept, Customer's sole remedy is to cancel before the increase takes effect.

3.5 Free Trials. If RVLock offers a free trial, the trial converts to a paid subscription at the end of the trial period unless Customer cancels beforehand, and RVLock will charge the then-current fee using Customer's payment method. RVLock may modify or withdraw trial offers at any time.

4. Subscription Management

4.1 Upgrades and Downgrades. Customer may change Service Plans where the option is offered. Upgrades take effect immediately, with fees prorated or charged as disclosed at the time of change. Downgrades take effect at the start of the next billing cycle and may reduce available storage, features, or retained versions. Customer is responsible for reducing stored Data to fit a lower tier before a downgrade takes effect.

4.2 Cancellation. Customer may cancel through the account settings in the Cloud Services or by contacting support@rvlock.com. Cancellation stops future renewals and takes effect at the end of the then-current billing cycle.

4.3 Renewal and Automatic Charges. SUBSCRIPTIONS RENEW AUTOMATICALLY FOR SUCCESSIVE PERIODS EQUAL TO THE THEN-CURRENT BILLING CYCLE UNLESS CUSTOMER CANCELS BEFORE THE RENEWAL DATE. BY SUBSCRIBING, CUSTOMER AUTHORIZES RECURRING CHARGES TO ITS PAYMENT METHOD AT THE THEN-CURRENT RATE UNTIL CANCELLATION. Where required by law, RVLock will provide advance renewal reminders and an accessible online cancellation method.

5. Refunds and Cancellation

5.1 Refund Policy. Except where required by applicable law or expressly stated otherwise at purchase, all fees are nonrefundable, and RVLock does not provide refunds or credits for partial billing periods, unused storage, or partial-month usage.

5.2 Data Handling After Cancellation. Following cancellation or expiration, Customer's access to the Cloud Services ends at the close of the paid period. Cancellation of the Cloud Services subscription does not, by itself, delete Customer’s Account or Customer Data governed by the Privacy Policy. RVLock will make Customer Content available for export for a limited retrieval window of 30 days after the subscription ends, after which RVLock may delete Customer Content from active systems in the ordinary course, subject to Section 7 and the Privacy Policy. If Customer deletes the Account, access to the Cloud Services and all Customer Content terminates immediately, and data handling is governed exclusively by the Privacy Policy; no retrieval window applies.

5.3 Suspension for Nonpayment. If a charge is declined or fees remain outstanding, RVLock may suspend or restrict the Cloud Services, and may terminate the subscription and delete Customer Content if amounts remain unpaid after reasonable notice. Customer remains responsible for all amounts accrued before suspension or termination.

6. Customer Responsibilities

6.1 Backup Responsibility. THE CLOUD SERVICES ARE NOT A SUBSTITUTE FOR CUSTOMER'S OWN BACKUPS. Customer is solely responsible for maintaining independent backup copies of Customer Content. RVLock is not responsible for any loss, corruption, or unavailability of Customer Content, whatever the cause.

6.2 Content Legality. Customer represents and warrants that Customer Content, and its use of the Cloud Services, comply with applicable law and do not infringe or violate the rights of any third party.

6.3 Prohibited Content and Use. Customer will not upload, store, or transmit content that is unlawful, infringing, defamatory, harmful, malicious, obscene, or that violates the ToS restrictions or third-party rights. Customer will not use the Cloud Services to store or distribute malware or to circumvent storage limits or security controls.

6.4 Credentials and Authorized Users. Customer is responsible for safeguarding credentials and for all activity under its Account, including that of its Authorized Users.

7. Data Ownership and Access

7.1 Ownership. As between the parties, Customer retains any ownership rights it holds in Customer Content. Customer grants RVLock the license and data-use rights set forth in the ToS and the Privacy Policy, including the rights to host, process, analyze, and use Customer Data for the purposes stated there.

7.2 Access and Download. While the subscription is active, Customer may access and download Customer Content through the interfaces RVLock provides, subject to maintenance, suspension, and the other terms of this Agreement and the ToS.

7.3 Deletion After Account Deletion. Following deletion of Customer's Account and expiration of the retrieval window in Section 5.2, RVLock will delete or de-identify Customer Content in its active production systems within a commercially reasonable period, except for Data that RVLock is permitted or required to retain under the Privacy Policy, including backups made in the ordinary course, Aggregated Data, De-Identified Data, and Data retained for legal, security, dispute-resolution, audit, or legitimate business purposes. Residual copies in routine backups are deleted or overwritten in the ordinary backup cycle.

7.4 Data Recovery. RVLock does not guarantee that deleted, corrupted, or lost Customer Content can be recovered. Any recovery assistance RVLock elects to provide is offered as a courtesy, without warranty, and may be subject to a fee.

8. Service Level Commitment

8.1 Availability Target. RVLock will use commercially reasonable efforts to make the core storage and retrieval functions of the Cloud Services available at least 99.9% of the time in each calendar month, measured as described in Section 8.2 (the "Availability Target").

8.2 Measurement. Availability is measured monthly as the total minutes in the month, less Excluded Downtime, during which the core functions were available, divided by the total minutes in the month less Excluded Downtime. "Excluded Downtime" means any unavailability caused by: (a) scheduled or emergency maintenance; (b) force majeure events; (c) acts or omissions of Customer, its Authorized Users, or its equipment, software, or connectivity; (d) third-party services, networks, carriers, or platforms outside RVLock's reasonable control; (e) suspension or termination under this Agreement or the ToS; or (f) issues that RVLock cannot reasonably reproduce.

8.3 Service Credits. If RVLock fails to meet the Availability Target in a calendar month, Customer's sole and exclusive remedy is a service credit equal to 10% of the fees attributable to the affected Service Plan for that month for each full 0.1% below the Availability Target, up to a maximum of 50% of that month's fees. Service credits are non-cash, apply only to future invoices, and expire on termination.

8.4 Credit Requests. To receive a credit, Customer must submit a written request to support@rvlock.com within thirty (30) days after the end of the month in which the shortfall occurred, including sufficient detail to verify the claim. Failure to submit a timely request waives the credit.

8.5 Support Response. RVLock will use commercially reasonable efforts to acknowledge support requests submitted through its designated channels within two business days. Response targets are goals, not guarantees, and do not create service-credit obligations.

8.6 Exclusive Remedy. The service credits in this Section 8 are Customer's sole and exclusive remedy, and RVLock's entire liability, for any failure to meet the Availability Target or any Support response target. This Section 8 does not limit the disclaimers or liability caps in the ToS.

9. Security and Privacy

9.1 Encryption. RVLock uses encryption designed to protect Data in transit over public networks and at rest in its production storage environment, using industry-standard protocols. Encryption does not guarantee security.

9.2 Security Measures. RVLock maintains reasonable administrative, technical, and physical safeguards designed to protect Data, consistent with the Privacy Policy. No safeguard is perfect, and RVLock does not guarantee the security of Data.

9.3 Privacy. RVLock's collection, use, disclosure, and retention of personal information through the Cloud Services are governed by the Privacy Policy.

9.4 Compliance. RVLock maintains a privacy program designed to support compliance with applicable U.S. state privacy laws, including the California Consumer Privacy Act as amended. Any processing of personal information subject to non-U.S. data-protection laws, including the EU/UK GDPR, is addressed only where RVLock has expressly agreed in a separate written data processing agreement. Absent such an agreement, the Cloud Services are offered for use in the United States, and Customer is responsible for its own compliance obligations arising from its use of the Cloud Services.

10. Limitations and Disclaimers

10.1 No Guarantees. Except for the Availability Target in Section 8, RVLock makes no commitment regarding data preservation, uptime, error-free operation, or freedom from loss, corruption, delay, or unavailability. The Cloud Services are provided "as is" and "as available" as set forth in the ToS.

10.2 Excluded Scenarios. RVLock is not responsible for loss, corruption, or unavailability of Data resulting from Customer's acts or omissions, failure to maintain independent backups, third-party services, connectivity failures, force majeure, or use of the Cloud Services outside the Documentation or for prohibited purposes.

10.3 Incorporation. The warranty disclaimers in Section 11 of the ToS and the limitation of liability in Section 12 of the ToS, including the cap at the greater of the amount paid in the prior twelve months or one hundred dollars ($100), apply in full to the Cloud Services and this Agreement.

11. Service Modification and Interruption

11.1 Right to Modify. RVLock may modify this Agreement and the features, functionality, capacity, and configuration of the Cloud Services as provided in the ToS. Material changes will be communicated by email, through the Cloud Services, or by posting a revised Agreement.

11.2 Maintenance and Update Notices. RVLock will use commercially reasonable efforts to provide advance notice of planned maintenance likely to cause material interruption. Emergency maintenance may occur without notice.

11.3 Interruption. RVLock may suspend, restrict, or interrupt the Cloud Services for maintenance, security, capacity, legal, or operational reasons. Except for service credits expressly provided under Section 8, RVLock has no liability for any modification, suspension, interruption, or discontinuation of the Cloud Services.

12. Suspension and Termination

12.1 By RVLock. RVLock may suspend, restrict, or terminate the Cloud Services or Customer's Account as provided in Section 14 of the ToS, including for violation of this Agreement or the ToS, nonpayment, risk or legal exposure to RVLock or others, or conduct that may impair the Cloud Services.

12.2 By Customer. Customer may terminate by cancelling under Section 4 and discontinuing use.

12.3 Effect of Termination. On termination, Customer's right to use the Cloud Services ends. Data handling follows Sections 5.2 and 7 and the Privacy Policy. Accrued payment obligations survive. Sections 1, 5, 6, 7, 9, 10, 12, 13, and 14 survive termination.

13. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to this Agreement or the Cloud Services is governed exclusively by the dispute-resolution provisions of the ToS, including the informal-resolution requirement, mandatory mediation, binding individual arbitration before the American Arbitration Association, the class-action and jury-trial waivers, the equitable-relief and small-claims carve-outs, and the arbitration opt-out, all of which are incorporated by reference. As provided in the ToS, "Dispute" includes any dispute arising out of or relating to this Agreement, the Cloud Services, and RVLock's processing of Customer Data.

14. General Terms

14.1 Governing Law and Venue. This Agreement is governed by Utah law, without regard to conflict-of-laws principles, and the governing-law and venue provisions of the ToS (exclusive venue in the state courts of Cache County, Utah, for any action permitted outside arbitration) apply.

14.2 Entire Agreement. This Agreement, together with the ToS, the Privacy Policy, and the terms disclosed at purchase for Customer's Service Plan, is the entire agreement between the parties regarding the Cloud Services and supersedes prior understandings on that subject.

14.3 Amendment and Notice. RVLock may amend this Agreement as provided in Section 11.1 and the ToS. Notices to RVLock go to support@rvlock.com; notices to Customer may be sent to the Account email or delivered through the Cloud Services.

14.4 Assignment; Severability; No Waiver. The assignment, severability, and no-waiver provisions of the ToS apply to this Agreement.
